Terms and Conditions of Sale

Terms applicable to orders placed on or after October 11, 2026. Pro Headspa equipment and accessories are sold to buyers acting for the purposes of their professional activity. These terms govern the sale of equipment; training courses are also subject to the specific provisions set out in Article 19.

Ordering and payment · Delivery · B2B returns · Warranty · Maintenance · After-sales service

1. Seller identification

PRO HEADSPA, a French simplified joint-stock company (société par actions simplifiée) with share capital of €1,000, located at 115 rue de la Convention, 75015 Paris, France, registered with the Paris Trade and Companies Register (RCS) under number 807 616 503. SIRET: 807 616 503 00015. EU VAT number: FR11807616503.

Contact: contact@proheadspa.com · phone: +33 6 95 76 84 14. For sales or after-sales inquiries, please see the Contact page. A return address must be confirmed by the after-sales team before anything is shipped.

2. Scope and contractual documents

The customer represents that they are ordering in the course of their professional activity and that they are authorized to bind the company or organization they represent. The customer shall provide accurate information, including their business identity, billing address and delivery details. PRO HEADSPA may request any supporting documents needed to verify this status.

These terms are made available before ordering and must be accepted. The applicable version is the one accepted on the order date; any later amendment does not apply retroactively. Specific terms set out in an accepted quote or a written agreement prevail on the matters they expressly address. The customer’s purchasing terms are enforceable against PRO HEADSPA only if PRO HEADSPA has expressly accepted them in writing. Mandatory statutory provisions remain applicable.

3. Products, configurations and uses

The essential characteristics, variants and included items are those shown on the product page for the product ordered and, where applicable, in the accepted quote. Lifestyle photographs may show additional accessories or equipment that are not included; the contractual list and the selected variant are authoritative. Differences in color rendering due to screens or lighting do not, in and of themselves, constitute a defect. This clarification does not permit the delivery of a product that does not match the agreed characteristics.

The equipment is intended for the professional uses described in its instructions. Wellness devices, mist and observation tools must not be presented as enabling a diagnosis, medical treatment or therapeutic result that has not been expressly authorized. Examples of services, revenue or profitability do not constitute a commitment to any commercial result.

4. Placing an order

Before confirming, the customer checks the contents of the cart, the references, variants, quantities, prices, contact details and shipping information, and may correct their choices. Confirmation with payment binds the customer on the basis of the order summary displayed. An acknowledgment of receipt and an order confirmation are sent electronically. For an order based on a quote, the commitment arises from acceptance of the quote and from the expressly stated validation conditions.

If a product becomes unavailable, or if an obvious pricing or description error affects the order, PRO HEADSPA will contact the customer to propose a correction, a replacement product, or cancellation with a refund of the corresponding amounts. No replacement or price increase is imposed without the customer’s agreement. An order may be refused for a legitimate reason, including identified fraud, inability to deliver or an unresolved payment default, in compliance with applicable rights.

5. Prices, taxes and promotional offers

Equipment prices and the cart subtotal are shown excluding taxes, in the displayed currency. Any applicable VAT is calculated at checkout in accordance with tax rules and the information provided by the customer. A foreign VAT number alone does not guarantee an exemption: the statutory conditions must be met and the supporting documents provided. Customs duties, import taxes and local charges not included in the quote remain payable by the person liable for them under the applicable regulations.

The contract price is the price confirmed when the order is placed. Discounts and promotional codes apply only to the products, dates and conditions announced. Grants and subsidies, including CARSAT funding, are not commercial discounts granted by PRO HEADSPA and are not automatically deducted from the price due.

6. Payment and late payment

Unless an installment plan has been agreed in writing or the quote provides otherwise, the order is payable in full at the time of ordering using the payment methods offered at checkout. A payment schedule applies only if it has been accepted in writing. The terms of any third-party financing are also governed by the agreement entered into with that third party; they do not alter the seller’s obligations under the statutory warranties.

Any late payment of a due business invoice will automatically incur, without prior reminder, late-payment penalties calculated at the European Central Bank refinancing rate plus ten percentage points, which may not be lower than three times the French statutory interest rate, together with the fixed €40 indemnity for collection costs. If the actual collection costs exceed this amount, additional compensation may be claimed upon presentation of supporting evidence, under the conditions of Articles L.441-10 and D.441-5 of the French Commercial Code (Code de commerce). These rules apply subject to the procedures and exceptions provided by law.

In the event of non-payment, PRO HEADSPA may, after informing the customer, suspend the affected future deliveries or services, within the limits permitted by law and without setting aside mandatory warranties. Rescission of the sale and repossession of the goods are carried out in accordance with the applicable conditions and procedures; these Terms and Conditions of Sale alone do not authorize any forcible repossession.

7. Retention of title

PRO HEADSPA retains title to the goods until their price has been received in full, in accordance with Article 2367 of the French Civil Code (Code civil). Until that date, the customer shall ensure that the goods are preserved and remain identifiable. Retention of title does not defer the transfer of risk: from the agreed physical handover, the customer is responsible for the custody of the equipment, without prejudice to the rights attached to prior defects or damage.

8. Delivery in France and internationally

Delivery is included for orders shipped within France under the conditions of the offer. Any special services, such as crane lifting, special handling, works, assembly or connection, are included only if they are expressly stated in the quote or the order.

For international orders, payment of the order includes a €100 shipping deposit (excl. VAT). This amount is not the final delivery charge. The final cost is then determined by quote based on the goods, the country, the address and the access conditions. The deposit is deducted from the final amount; any balance must be accepted and paid before shipment. If the final amount is lower than the deposit, the difference is settled. No surcharge that has not been accepted is charged automatically.

The customer may request an estimate before ordering. If the final quote is disputed, no shipment is made until an agreement has been reached; the parties will consider a solution in writing, including cancellation where delivery is impossible or no accepted shipping solution is available. The initial payment does not constitute acceptance of shipping at unlimited cost. Destinations that can be ordered are those actually offered on the website; any other destination requires prior confirmation.

9. Lead times, receipt and reservations

The applicable lead time is communicated based on equipment availability, destination and delivery service. Estimates do not replace a written commitment to a firm date. The customer is informed of any significant delay and of the possible solutions, without prejudice to the statutory remedies in the event of non-performance.

On receipt, the customer inspects the packages and, where possible, the equipment in the presence of the carrier. In the event of visible damage, the customer records specific reservations (written damage notes) with the carrier and documents the issues with photographs; a general notation such as “subject to unpacking” may not be sufficient. The customer promptly informs PRO HEADSPA and complies with the formalities and time limits for claims applicable to the relevant carrier, including Article L.133-3 of the French Commercial Code where it applies.

Failure to record reservations may affect recourse against the carrier; it does not automatically remove any recourse relating to a latent defect or a defect that could not be detected on delivery. Keep the packaging where it is needed for inspection or for shipping a return.

10. Site preparation and installation

Before ordering, the customer checks the dimensions, clearances, access, floor load capacity and requirements for water, drainage, power supply and grounding. Works and connections must be carried out by qualified persons in accordance with the instructions and applicable rules. Installing a self-contained unit does not remove the need to organize filling, draining, hygiene and electrical supply.

The customer reports any unusual constraints before confirming the order. The cost of any additional service made necessary by inaccurate information or undisclosed constraints must be agreed upon. The equipment must not be used if a safety issue, leak or malfunction appears.

11. B2B orders, withdrawal and cancellation

Orders for equipment and accessories placed online for the purposes of a professional activity do not benefit from the fourteen-day right of withdrawal granted to consumers. No return for a mere change of mind is accepted as of right. Any commercial exchange, modification or cancellation requires the written agreement of PRO HEADSPA specifying its conditions and any justified costs.

This rule does not preclude any applicable mandatory right. Certain off-premises contracts between professionals may fall under Article L.221-3 of the French Consumer Code (Code de la consommation) where the subject matter falls outside the scope of the solicited professional’s main activity and that professional employs no more than five people. The rules specific to training, rights relating to a defect, non-performance or delivery error, and any mandatory protections that may apply abroad remain unaffected.

Where a commercial cancellation is accepted, the amounts due and refunded are defined in writing based on the order, its stage of preparation and the costs actually incurred. No undisclosed flat-rate deduction is applied. Please also see the B2B return policy.

12. Commercial warranty and statutory rights

Unless a specific duration or specific conditions are clearly stated before purchase, the equipment benefits from a 24-month commercial warranty from delivery covering manufacturing defects and covered failures. The Reva Headspa product page provides for 24 months in France and 12 months outside France. Accessories, consumables, services and software are subject to the conditions specified for their respective offers; they do not automatically benefit from the same scope as the main equipment.

The warranty is granted by PRO HEADSPA for the equipment identified on the invoice. The country of use must match the declared destination or have been confirmed. Coverage includes diagnosis and, depending on the defect and the conditions applicable to the model, repair or replacement of the affected part or equipment. It does not entail systematic replacement of the entire unit or an automatic loaner. The arrangements and timeframes are communicated to the customer.

The commercial warranty is in addition to, and does not replace, the seller’s statutory obligations. Statutory rights, including the warranty against latent defects under Articles 1641 et seq. of the French Civil Code, are not excluded. A failure is assessed according to its cause and the available evidence; it is not automatically excluded because a part may also be subject to wear.

13. Exclusions from the commercial warranty

The following are not covered, to the extent that they do not result from a covered defect in the equipment:

  • Normal wear and tear and maintenance operations: consumables, periodic replacement of filters or seals, expected aging of upholstery, marks or changes in appearance consistent with normal use. A premature manufacturing defect will still be assessed.
  • Damage caused by use contrary to the instructions: exceeding the load limit, operation in unintended conditions, impact, falls, unsuitable transport, freezing, damp storage or excessive exposure.
  • Damage resulting from non-compliant connections, unsuitable voltage or grounding, incompatible water pressure or quality, or splashes and water ingress into electrical parts.
  • Damage caused by the absence or inadequacy of the prescribed cleaning, draining, filtration or descaling; the buildup of hair, deposits, limescale or stagnant water in the circuits.
  • Corrosion, material deterioration or blockages caused by unauthorized chemicals, abrasives, additives or treatments.
  • Damage attributable to unauthorized modification, disassembly or repair, or to the installation of an incompatible part.

These exclusions apply to damage caused by the situation concerned, not indiscriminately to all defects of the product. Normal professional use is not excluded merely because it is regular. PRO HEADSPA gives reasons for any exclusion and specifies the information relevant to its assessment. Mandatory statutory rights remain applicable.

14. Specific maintenance of basins, tables and mist devices

The customer complies with the instructions supplied with each model and with the safety and hygiene guidelines. The customer checks tank levels and capacities before use, removes hair and residue from accessible parts, drains the wastewater, cleans the reservoirs and uses compatible water and products. Plumbed-in circuits must remain accessible for inspection and the prescribed maintenance. The mist must be prepared with the water quality specified in the instructions, without any unauthorized additive.

A failure or deterioration caused by an inadequately maintained basin is not covered by the commercial warranty. This includes, in particular, blockage, scaling, contamination or corrosion attributable to failure to follow the instructions. Routine maintenance must not require the customer to open electrical components or work on parts reserved for a technician.

Keep the instructions, maintenance invoices and relevant information on the operations carried out. These documents facilitate diagnosis; their absence alone does not justify rejecting a manufacturing defect that has no established link with maintenance. If an instruction seems unclear, ask the after-sales team for clarification before applying a treatment.

15. After-sales service requests and technical returns

Contact contact@proheadspa.com or the team indicated on the Contact page, providing the invoice or order number, the product reference, the serial number if any, a description and, where helpful, photos or a video. Stop using the equipment if there is any risk and do not disassemble anything before receiving instructions from the after-sales team.

The after-sales team specifies the checks that can be performed, the diagnosis, the solution and the transport or service arrangements. For a technical return, request the address and packing instructions before shipping. Prior approval organizes the return; it does not remove any statutory right to make a claim.

Where a defect is covered by the commercial warranty, the costs necessary to handle it are dealt with under the conditions communicated to the customer, with no surprise charges. If the issue is not covered by the warranty, a quote for diagnosis, repair, parts, transport or travel is presented before any chargeable intervention. No charge is incurred until the quote has been accepted. Timeframes depend in particular on the diagnosis and the availability of parts.

16. Financing, CARSAT and support

Information and simulations regarding financial assistance are provided to help prepare a project; only the competent fund or funding body decides on eligibility and award. Rates, caps, criteria, budgets and timelines may change. CARSAT is a French occupational health and pension fund: its assistance is available only to businesses based in France. The customer checks the order of the steps to be taken before ordering and remains responsible for the completeness of their application.

An order is not automatically conditional on obtaining financial assistance. Any condition precedent relating to financing must be expressly agreed in writing before the customer commits. This does not relieve PRO HEADSPA of its obligation to provide accurate commercial information and the documents it has undertaken to supply. Read the CARSAT guide.

17. Liability and force majeure

The customer remains responsible for compliant use, maintenance, hygiene and the acts performed by their staff. PRO HEADSPA is liable for the obligations incumbent upon it as seller; the involvement of a carrier or supplier does not constitute a general exemption.

Subject to mandatory rules, PRO HEADSPA’s contractual liability for foreseeable direct damage attributable to ordinary negligence is limited to the amount, excluding taxes, of the order giving rise to the damage. Indirect losses, such as loss of business, margin, customers or anticipated savings, are not compensated, to the extent permitted by law. These limitations do not apply in cases of fraud, gross negligence or personal injury, to mandatory obligations relating to defective products, or where they would deprive an essential obligation of its substance.

Force majeure is assessed under the conditions of Article 1218 of the French Civil Code. A mere transport delay or supply difficulty does not automatically constitute force majeure. The affected party informs the other party and seeks a solution; suspension or termination follows the applicable statutory and contractual conditions.

18. Intellectual property, data and evidence

Trademarks, content, photographs, videos, software and materials are protected. Purchasing or viewing them does not transfer any rights of reproduction, distribution or exploitation. Access to software is governed by the terms communicated for the service concerned.

Data required for the order, delivery, after-sales service and legal obligations is processed in accordance with the privacy policy. A professional customer using images or records of their own clients must comply with their own obligations regarding information, confidentiality and data protection.

Order summaries, confirmations, accepted quotes and electronic communications may be used to establish the order, subject to their integrity and to proof to the contrary. The customer keeps the documents received. Any dispute may be sent to contact@proheadspa.com with the relevant information.

19. Specific provisions for training

Each training course is governed by a program and a training agreement or contract identifying the training provider, objectives, prerequisites, dates or access, duration, delivery methods, price and support. The course page, the quote and the agreement specify what is included. Equipment onboarding is not a substitute for a full training course. No certification, funding eligibility or VAT exemption is presumed: the applicable regime is stated in the documents for the offer concerned.

Where training is purchased by a company, payment, rescheduling and cancellation terms and any fees are those accepted in the training agreement. Funding by an OPCO (French skills operator) or any other funder must be confirmed by that funder; amounts not covered remain payable in accordance with the agreement, without invoicing as completed training time any service that was not delivered. Any cancellation fee is identified separately.

Where an individual undertakes training in a personal capacity and at their own expense, the contract and the provisions of Articles L.6353-3 to L.6353-7 of the French Labor Code (Code du travail) apply in particular: a ten-day right of withdrawal under the statutory conditions, no payment due before that period expires, and then the statutory rules on deposits and installments. Other mandatory rights that may apply to a distance or off-premises sale are not excluded. The no-withdrawal rule for B2B equipment is not automatically extended to training.

Teaching adjustments must not alter the essential objectives agreed. Training materials are intended for the participant’s authorized use and may not be reproduced or resold without permission.

20. Governing law and disputes

Contracts are governed by French law, without excluding the mandatory rules applicable to the sale concerned, particularly for international sales. An amicable resolution may be sought by contacting contact@proheadspa.com, without preventing the exercise of statutory remedies and time limits. If any clause is unenforceable, the remaining clauses continue to apply to the extent permitted by law.

WHERE BOTH PARTIES HAVE CONTRACTED AS MERCHANTS (COMMERÇANTS) AND THE CONDITIONS OF ARTICLE 48 OF THE FRENCH CODE OF CIVIL PROCEDURE ARE MET, THE COURTS OF PARIS HAVING SUBJECT-MATTER JURISDICTION SHALL HAVE JURISDICTION OVER DISPUTES RELATING TO THE ORDER. IN ALL OTHER CASES, THE STATUTORY RULES OF JURISDICTION APPLY.
